These terms apply to the lydiamgroup.co.uk website and the advisory services of Lydiam Group Ltd (United Kingdom). They do not apply to any regulated services provided by other members of the Lydiam group or by third-party providers.
1. AGREEMENT TO TERMS
These Terms of Service ("Terms") form a binding agreement between you ("Client," "you") and Lydiam Group Ltd, a company registered in England and Wales under company number 14454132, with its trading address at 17 Hanover Square, London, W1S 1BN ("Lydiam UK," "we," "us," or "our"), governing your access to and use of this website (lydiamgroup.co.uk) and any advisory or consultancy services we provide to you under a separate engagement letter.
By accessing this website or engaging Lydiam UK, you agree to these Terms and our Privacy Policy. If you do not agree, you must not use the website or engage our services.
We may update these Terms from time to time. The current version will always be available on this website; continued use constitutes acceptance.
2. SCOPE OF SERVICES — ADVISORY AND CONSULTANCY ONLY
2.1 Lydiam UK is a UK-incorporated advisory and consultancy firm. Our services consist exclusively of strategic advisory, corporate structuring advice, holistic business review, operational consultancy, coordination, introductions, and the provision of proprietary software and technology to clients (collectively, the "Services").
2.2 What Lydiam UK does NOT do. Lydiam UK is not authorised or regulated by the Financial Conduct Authority (FCA), the Prudential Regulation Authority, or any other financial services regulator. Lydiam UK does not, and will not under these Terms:
- provide investment advice, personal recommendations, portfolio management, or financial promotions within the meaning of the Financial Services and Markets Act 2000 (FSMA);
- carry out any regulated activity under the FSMA or the Regulated Activities Order 2001;
- arrange, execute, or intermediate payments, money remittance, or foreign exchange transactions;
- hold, control, safeguard, or handle client money or client assets;
- engage in any activity relating to cryptoassets, virtual assets, or digital tokens — including custody, exchange, on-ramping, off-ramping, swaps, or issuance — which are handled exclusively by other licensed members of the Lydiam group or by third-party regulated providers;
- issue, distribute, or operate any payment card, electronic money instrument, or account-based payment product;
- provide tax advice, legal advice, accounting services, or audit services.
2.3 Regulated activities are delivered by regulated parties. Where a client requires a regulated service — for example, payment processing, FX execution, e-money issuance, cryptoasset services, trust and corporate services, or legal or audit work — Lydiam UK will, at the client's direction, introduce or coordinate with an appropriately regulated or licensed provider. Those providers may include other members of the Lydiam group (such as entities licensed in Poland or Canada) or wholly independent third parties (such as FCA-authorised payment institutions, law firms, or licensed trust providers). Those providers contract with the client directly under their own terms and are solely responsible for the services they provide.
2.4 No financial promotion. Nothing on this website or in any communication from Lydiam UK is intended to constitute, and should not be relied upon as, an invitation, inducement, or financial promotion to engage in investment activity. All content is provided for general informational and educational purposes only.
3. NO ADVICE FROM THIS WEBSITE
Information on this website is general in nature and is not tailored to your circumstances. It does not constitute advice of any kind. You should not act or refrain from acting on the basis of any content on this website without obtaining specific advice from an appropriately qualified professional.
Any advisory services are provided only under a signed engagement letter between you and Lydiam UK, which will set out the scope, deliverables, fees, and limitations applicable to that engagement.
4. CLIENT ACCEPTANCE AND ENGAGEMENT
4.1 A client relationship arises only upon execution of a written engagement letter between you and Lydiam UK. In the absence of an engagement letter, no retainer, duty of care, or advisory relationship exists, regardless of any prior communications.
4.2 Lydiam UK may, as a condition of engagement, require identity verification, source-of-funds information, and sanctions screening consistent with the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 and the Proceeds of Crime Act 2002.
4.3 We may decline to act, or cease to act, at our absolute discretion, including where we consider continued engagement incompatible with applicable laws, our professional standards, or our risk appetite.
5. FEES AND PAYMENT
Fees for advisory services are set out in the applicable engagement letter and are denominated in pounds sterling (GBP) unless otherwise agreed. Fees are exclusive of VAT and any applicable disbursements. Lydiam UK does not receive, hold, or disburse client monies in connection with its advisory services.
6. INTELLECTUAL PROPERTY
All content on this website — including text, graphics, logos, icons, images, software, and the underlying code — is owned by or licensed to Lydiam UK and is protected by UK and international intellectual property laws. You may view and print content for personal, non-commercial reference only. Any other use, reproduction, or distribution requires our prior written consent.
Deliverables produced under an advisory engagement are licensed to the client on the terms set out in the applicable engagement letter.
7. ACCEPTABLE USE
You agree that you will not:
- use this website or our Services for any unlawful purpose or in breach of any applicable law, regulation, or sanctions regime;
- systematically extract, scrape, or harvest data or content from this website;
- interfere with, damage, or circumvent any security or access control on this website;
- misrepresent your identity, status, or affiliation, or provide false information in any onboarding or diligence process;
- use this website or our Services for market abuse, money laundering, terrorist financing, tax evasion, fraud, or sanctions evasion.
8. THIRD-PARTY CONTENT AND LINKS
This website may contain links to third-party websites, services, or providers (including other members of the Lydiam group). Such links are provided for convenience only. This website and its content are provided on an "as is" and "as available" basis without any representation or warranty of any kind, whether express or implied, including as to accuracy, completeness, currency, or fitness for a particular purpose.
Lydiam UK makes no guarantees as to any financial, commercial, or operational outcome arising from any advice, introduction, review, or software we may provide.
10. LIMITATION OF LIABILITY
10.1 Nothing in these Terms limits or excludes any liability which cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
10.2 Subject to clause 10.1, Lydiam UK shall not be liable for any indirect, consequential, exemplary, incidental, special, or punitive loss, nor for any loss of profit, loss of revenue, loss of goodwill, loss of anticipated savings, loss of opportunity, or loss of data, in each case however arising.
10.3 Subject to clauses 10.1 and 10.2, our total aggregate liability to you arising out of or in connection with these Terms or any engagement is limited to the greater of (a) £100 and (b) the fees actually paid by you to Lydiam UK in the six (6) months immediately preceding the event giving rise to the claim.
10.4 Lydiam UK is not responsible for the acts, omissions, or services of any other member of the Lydiam group or of any third-party regulated provider referred to or coordinated by us. Any claim in respect of services provided by such parties must be pursued against them directly under their own terms.
11. INDEMNITY
You agree to indemnify and hold Lydiam UK harmless from and against any claim, loss, liability, or cost arising from (a) your breach of these Terms, (b) your violation of any applicable law or the rights of a third party, or (c) any information you provide to us being inaccurate, incomplete, or misleading.
12. PRIVACY AND DATA PROTECTION
Lydiam UK processes personal data in accordance with the UK GDPR, the Data Protection Act 2018, and our Privacy Policy, which forms part of these Terms.
13. TERMINATION
We may suspend or terminate your access to this website at any time, with or without notice, at our discretion. Termination of any advisory engagement is governed by the applicable engagement letter.
14. GOVERNING LAW AND JURISDICTION
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
15. GENERAL
These Terms, together with any applicable engagement letter and our Privacy Policy, constitute the entire agreement between you and Lydiam UK in relation to the matters they cover. If any provision is held to be invalid or unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right under these Terms is not a waiver of that right. We may assign or subcontract our rights and obligations; you may not do so without our written consent. No person other than you and Lydiam UK has any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce these Terms.
